A company has cheated me of a large sum through a fraudulent scheme. Can I file a criminal complaint naming both the company as an entity and its individual directors and officers as accused and how does criminal liability attach to corporate directors under Indian law?

You can file a criminal complaint against a company and its directors, since Indian law recognises corporate criminal liability alongside personal liability of individuals responsible for the company's conduct. Whether you can file a criminal complaint against a company and its directors successfully depends on specifically identifying which directors were in charge of and responsible for the conduct in question, since courts require particularised allegations against each director rather than a blanket complaint against the entire board. This requirement of specificity has become increasingly important as courts grow more cautious about complaints that name every director simply because they hold office, without showing their actual involvement in the alleged wrongdoing.

The distinction between the company's liability and a director's personal liability is significant. A company, being a separate legal entity, can be prosecuted and penalised, typically through fines, since imprisonment obviously cannot be imposed on a corporate body. Directors, on the other hand, face personal liability, including potential imprisonment, only where the complaint establishes their specific knowledge, consent, connivance, or negligence in relation to the offence, which is why courts scrutinise complaints against directors far more closely than those against the company itself.

Companies themselves can be prosecuted and fined, while directors face personal liability only where their specific role in the offence is established, meaning a well-drafted complaint should clearly distinguish between what is alleged against the corporate entity and what is specifically attributed to each named individual. Vague references to "the company and its management" without this distinction often weaken a complaint considerably and can result in individual directors being dropped from proceedings even where the underlying grievance against the company is genuine.

For help drafting a precise, well-founded complaint, reach out via Aapka Legal Advice to ensure your allegations hold up to scrutiny, both against the company as an entity and against any directors you believe were personally responsible. Our network of Top Criminal Lawyers in India and retired judges panel regularly handle corporate criminal complaints with the precision they require, understanding exactly what level of detail courts expect before individual liability will be sustained. In conclusion, pursuing both the company and its directors is entirely possible, but success depends heavily on careful, individualised drafting rather than broad, undifferentiated allegations.
